Request for Electric Energy Proposals (RFP)

Southern California Edison Company ("SCE") filed its 2010 Renewable Portfolio Standard ("RPS") Procurement Plan with the California Public Utilities Commission ("CPUC") on December 18, 2009, as further amended on June 18, 2010. The proposed schedule for the Request for Proposals ("RFP"), filed in its 2010 RPS Procurement Plan with the CPUC, is included below.

Future updates on the RFP will be made available on SCE's web page or via e-mail. To be added to SCE's market participant distribution list, please submit the name of the contact person, company name, company address, phone number and e-mail address to RenewableProposals@sce.com.

Sellers to email their “Proposal Structure Letter,” fully completed “Seller’s Proposal Template(s) and Calculator(s),” “Seller’s Acknowledgements,” and, depending on the Product submitted, either fully completed “Outline of Contract Terms and Conditions” or redlines to the applicable Pro Forma Agreement(s) to SCE and to SCE’s Independent Evaluator (the “Structure Due Date”).

SCE must receive an electronic version of the full Proposal Binder exactly as described in Appendix C, Form of Seller’s Proposal (the “Proposal Due Date”).
TBD (Prior + ~6 weeks) SCE informs CPUC that bidding is closed.
TBD (Prior + ~4 weeks) Latest date SCE advises all Sellers on the status of their Proposals relative to SCE’s short list.
TBD (Prior + ~2 weeks) Earliest date on which exclusivity agreements may be required by SCE.
TBD (Prior + ~3 weeks) SCE submits final short list to CPUC and PRG.
TBD (Prior + ~3 weeks) SCE submits report on evaluation criteria and selection process to CPUC.
TBD SCE and short-listed Sellers complete negotiation of the Final Agreements.
TBD SCE submits the Final Agreements with Advice Letters to the CPUC for approval.
6 to 9 months later The CPUC resolution approving the Final Agreements becomes final and non-appealable.

Document Description
Procurement Protocol Version 2 (new) The RFP instructions re-posted on July 24, 2009 to accommodate include new Product definitions and Pro Forma Agreements for Very Short-term Products.
Procurement Protocol Version 2 REDLINE (new) The RFP instructions in redline format comparing Version 1 (posted on the RFP launch date of June 29th) against Version 2.
Appendix A: Information submitted electronically by Sellers by the Structure Due Date describing (i) mutual exclusivity and other selection limitations, (ii) certain commercial terms of the proposal, and (iii) any significant changes to the Pro Forma Agreement.
Appendix B:



SCE’s form Renewable Power Purchase and Sale Agreement for transactions 4 years or greater. (Only minor modifications may be made to B1 Agreement if fast-track Commission approval process is sought for Moderately Short-term Products)

SCE’s Pro Forma agreements or transactions less than 4 years. (Only minor modifications may be made to B2-B5 Confirmations if fast-track Commission approval process is sought for Very Short-term Products)

The results of SCE’s latest transmission study providing transmission cost information relative to particular geographic clusters of renewable resources.

Revenue Calculator (Non-Standard Version)

A Microsoft Excel Workbook for analyzing electric energy forecasts and estimating generating facility Energy Payments.

For use only with offers that include banking, firming and shaping services for otherwise intermittent resources.

Appendix F:
Alternate Wind Performance Standard
Alternative Seller's energy delivery performance obligation for wind proposals only (Optional).
Appendix G:
CPUC Project Viability Calculator

The CPUC-issued calculator to be used by SCE to assess Proposals’ viability attributes such as the company/development team, technology, and development milestones.

RFP Proposal & Imperial Valley Bidders' Conferences

The Conferences are scheduled for Thursday, July 9, 2009 starting at 9:00 a.m. (PPT) until 4:00 p.m. (PPT) at the Four Points by Sheraton Los Angeles Airport (9750 Airport Boulevard, Los Angeles, CA 90045). A rate of $99/night is available to attendees. Breakfast and registration begins at 8:00 a.m.
