A description of Southern California Edison Company's corporate governance practices is provided below. The SCE Nominating/Corporate Governance Committee periodically reviews the Company's corporate governance practices and makes recommendations to the SCE Board that the practices be updated from time to time.
*On June 24, 2010, the EIX and SCE Boards of Directors approved a revised Ethics and Compliance Code applicable to Directors, officers and employees. The Code revisions clarified the application of affiliate rules and other rules related to political contributions, gifts, and lobbying activities, insider trading, and intellectual property; emphasized management responsibilities and the companies’ concern for the environment; provided additional illustrative Q and A examples; and included technical, administrative or other non-substantive changes. These revisions did not relate to or result in any waiver, explicit or implicit, of any provision of the Code.
